Terms of Service

This is an English translation for reference. If there is any difference between the Japanese and English versions, the Japanese version prevails.

Article 1 (About these Terms)

  1. These Terms set out the conditions for using "Takeme2mix Studio" (the "Service") provided by nanoca inc. ("we" or "us").
  2. Please use the Service after agreeing to these Terms on the final order confirmation screen.
  3. Each order is governed by the Terms in effect at the time the order is placed.
  4. The Service is intended for people who live in Japan. People who live outside Japan may not order the Service.
  5. The English version of these Terms is a translation for reference. If there is any difference between the Japanese and English versions, the Japanese version prevails.

Article 2 (What the Service provides)

  1. The Service mixes and masters the vocals and instrumental you upload (together, "Your Data") by automated computer processing, and delivers candidate mixes for comparison, finished audio files and still-image video files (the "Deliverables").
  2. The Service is not mixing by a person. Due to the nature of automated processing, we do not guarantee a result that matches your taste or any particular sound quality or effect. We do not correct timing, edit vocals or create harmonies.

Article 3 (Orders and formation of the contract)

  1. The contract for use of the Service is formed when you agree to the details on the final confirmation screen, place your order and complete payment.
  2. The Service has no user accounts. We give you a private link for each order (the "Private Link"). Anyone who knows the Private Link can open the order page, so please keep it from third parties.

Article 4 (Prices and payment)

  1. The price is the amount (including tax) shown on the Service's pages and on the final confirmation screen.
  2. Payment is made on the payment page of Stripe, a payment processing service. We do not obtain or store credit card numbers.

Article 5 (Download deadline and data deletion)

  1. The deadline for downloading the Deliverables and requesting revisions is 7 days from payment.
  2. When the deadline passes, we automatically delete all of Your Data and the Deliverables. Deleted data cannot be restored. Please download any files you need before the deadline.
  3. You can delete your data at any time from the order page.
  4. Orders that are not paid are deleted 24 hours after they are created.

Article 6 (Cancellation and refunds)

  1. Because processing starts immediately after payment, we cannot accept cancellations or refunds for your personal reasons.
  2. If we cannot complete your mix for reasons attributable to us, or if a defect caused by our processing cannot be resolved by reprocessing, we will refund the full price.

Article 7 (What you confirm and warrant)

  1. You confirm and warrant that you hold the rights or permissions necessary for Your Data and any image used for the video to be processed by the Service. For example, that you follow the terms of use set by the distributor of the instrumental; that, when using a commercial recording, you have permission from the rights holder of that recording; and that, if the audio includes another singer's vocals, you have that person's consent.
  2. When you publish or distribute the Deliverables, you are responsible for any procedures required (licensing the song, permission to use the recording, checking platform rules, and so on).

Article 8 (Rights and our scope of use)

  1. The rights to Your Data and the Deliverables remain with you (or the rightful holder). Using the Service does not transfer any rights to us.
  2. We use Your Data free of charge only to the extent necessary to provide the Service (storage, copying, format conversion, processing such as mixing, and sending it to you).
  3. We do not use Your Data or the Deliverables for AI or machine-learning training, for our own promotion, or provide them to third parties.

Article 9 (Prohibited conduct)

You must not:

  1. Infringe, or risk infringing, the copyright, neighboring rights, portrait rights, privacy or other rights of third parties
  2. Process another person's singing or voice without their consent
  3. Act against the law or public order and morals
  4. Gain unauthorized access to the Service's systems, place an excessive load on them, or upload files containing harmful programs
  5. Publish a Private Link where an unspecified number of people can see it
  6. Otherwise interfere with the operation of the Service

Article 10 (Stopping processing)

  1. We may stop processing and delete the data if Your Data may fall under the previous article, if a harmful program is detected, or if a system failure prevents processing from continuing.
  2. If we stop processing under the previous paragraph and you have not violated the previous article, we will refund the full price.

Article 11 (Use by minors)

If you are under 18, please use the Service with the consent of a parent or guardian.

Article 12 (Changes, interruption and termination of the Service)

  1. We may temporarily interrupt all or part of the Service for maintenance, failures or other unavoidable reasons.
  2. If we end the Service, we will announce it in advance on the Service's pages. Orders already accepted will be handled until their download deadline.

Article 13 (Limitation of liability)

  1. Except in cases of our willful misconduct or gross negligence, our liability for damages you suffer in connection with the Service is limited to the price of the order in which the damage occurred.
  2. We are not liable for damages caused by your network environment or devices, or by how you manage the Private Link, except where we are at fault intentionally or negligently.

Article 14 (Personal information)

We handle your information in accordance with our Privacy Policy and How we handle your audio.

Article 15 (Changes to these Terms)

We may change these Terms in accordance with the Civil Code of Japan. If we do, we will announce the new content and its effective date on the Service's pages before it takes effect. Orders placed before a change remain governed by the Terms before the change.

Article 16 (Governing law and court)

These Terms are governed by the laws of Japan. Disputes relating to the Service will be resolved in a court with jurisdiction under the Code of Civil Procedure of Japan.
